Platform Overview

XPromo is a two-sided marketplace that connects Twitter/X creators with requesters (brands, businesses, individuals) seeking promotional services. We are an intermediary platform that facilitates:

Creator Discovery: AI-powered analysis and marketplace for Twitter/X creators
Automated Valuation: Algorithm-based pricing recommendations for promotional services
Order Management: End-to-end campaign management from request to delivery
Secure Payments: Escrow-style payment processing with automatic settlements
Delivery Verification: Automated screenshot capture and content verification

Platform Role

XPromo acts solely as an intermediary. We do not:

Create, endorse, or guarantee promotional content
Control the quality or effectiveness of promotional campaigns
Verify the accuracy of creator audience demographics
Guarantee specific promotional results or metrics

3. Eligibility and Account Requirements

General Requirements

To use XPromo, you must:

Be at least 18 years old or have legal parental/guardian consent
Have a valid, active Twitter/X account in good standing
Provide accurate and complete information during registration
Comply with all applicable laws and regulations
Maintain the security and confidentiality of your account credentials

Creator-Specific Requirements

Own and operate the Twitter/X account being promoted
Have genuine engagement and authentic followers
Agree to account analysis and valuation by our AI systems
Set up payment receiving capabilities through Stripe Connect

4. Creator Obligations and Standards

Content Delivery Standards

As a creator, you agree to:

Timely Delivery: Complete promotional content within agreed timeframes (typically 24-72 hours)
Content Quality: Maintain your usual content quality and authenticity standards
Accurate Representation: Ensure your account metrics and audience data remain substantially accurate
Platform Compliance: Follow all Twitter/X terms of service, community guidelines, and advertising policies

Legal and Regulatory Compliance

Disclosure Requirements: Clearly label sponsored content as required by law (e.g., #ad, #sponsored)
FTC Guidelines: Comply with Federal Trade Commission advertising disclosure requirements
Truthful Promotion: Only promote products/services you can authentically endorse
Content Restrictions: Refuse to promote illegal, harmful, or deceptive products/services

Professional Conduct

Communicate professionally with requesters
Honor pricing and package commitments
Provide draft previews when requested and agreed upon
Handle revisions reasonably and within scope

5. Requester Obligations and Standards

Campaign Requirements

As a requester, you agree to:

Clear Instructions: Provide detailed, unambiguous promotional requirements
Lawful Content: Only request promotion of legal products, services, or causes
Realistic Expectations: Understand that engagement and conversion rates may vary
Timely Payment: Complete payment before campaign initiation

Creator Relationships

Respect creators' creative freedom within agreed parameters
Provide constructive feedback during revision processes
Avoid requesting excessive revisions beyond scope
Communicate professionally and respectfully

Prohibited Requests

Illegal products, services, or activities
Deceptive or fraudulent schemes
Content that violates Twitter/X policies
Hate speech, harassment, or discriminatory content
Adult content or services (where prohibited by law)

6. Payment Terms and Fee Structure

Payment Processing

Payment Processor: All payments processed securely through Stripe
Escrow System: Funds held in escrow until delivery confirmation or auto-confirmation (72 hours)
Currency: All transactions processed in USD unless otherwise specified
Payment Methods: Credit cards, debit cards, and other Stripe-supported methods

Fee Structure

Platform Fee: 15% of order value charged to requesters
Payment Processing: Standard Stripe fees (typically 2.9% + $0.30 per transaction)
Creator Earnings: Creators receive 85% of order value after successful delivery
Fee Transparency: All fees clearly displayed before payment confirmation

Refunds and Disputes

Delivery-Based Refunds: Full refund if creator fails to deliver within agreed timeframe
Quality Disputes: Mediation through platform support with possible partial refunds
Chargeback Protection: False chargebacks may result in account suspension
Resolution Timeframe: Disputes must be raised within 7 days of delivery

7. Order Lifecycle and Delivery

Order Process

Order Placement: Requester selects creator package and provides campaign details
Payment Processing: Immediate payment with funds held in escrow
Creator Notification: Creator receives order details and begins work
Content Creation: Creator develops and publishes promotional content
Delivery Submission: Creator submits tweet URL and delivery confirmation
Verification: Automated screenshot capture and content verification
Confirmation Window: 72-hour period for requester review and confirmation
Payment Release: Automatic payment to creator after confirmation or timeout

Delivery Standards

Content must remain live for minimum 7 days after delivery
Screenshots automatically captured for delivery verification
Delivery URLs must direct to actual promotional content
Content must substantially match agreed requirements

8. Prohibited Conduct and Platform Rules

General Prohibitions

All users are prohibited from:

Platform Circumvention: Conducting transactions outside the platform to avoid fees
Fake Information: Providing false account information, metrics, or capabilities
Account Manipulation: Using bots, fake followers, or engagement manipulation
Harassment: Abusive, threatening, or discriminatory behavior toward other users
System Abuse: Attempting to exploit platform vulnerabilities or game algorithms

Creator-Specific Prohibitions

Accepting orders for accounts you don't own or control
Deleting promotional content before minimum retention period
Misrepresenting account metrics or audience demographics
Subcontracting work to other creators without disclosure

Enforcement Actions

Warnings: First-time minor violations may result in warnings
Account Suspension: Serious or repeated violations result in temporary suspension
Account Termination: Severe violations may result in permanent account closure
Payment Forfeiture: Terminated users may forfeit pending payments

9. Intellectual Property Rights

Content Ownership

Creator Content: Creators retain ownership of their original promotional content
Requester Materials: Requesters retain ownership of provided brand materials
Platform License: Users grant XPromo limited license to display content for platform operation
Third-Party Content: Users must have rights to any third-party content included

Infringement Policy

Report suspected copyright infringement to [email protected]
DMCA-compliant takedown procedures available upon request
Repeat infringers subject to account termination

10. Platform Availability and Modifications

Service Availability

Platform provided "as is" without guarantees of uninterrupted service
Scheduled maintenance will be announced in advance when possible
Force majeure events may temporarily affect service availability

Platform Changes

XPromo reserves the right to modify features, pricing, or policies
Significant changes will be communicated with reasonable advance notice
Continued use after changes constitutes acceptance of modifications

11. Limitation of Liability and Disclaimers

Platform Disclaimers

No Guarantees: XPromo makes no guarantees about promotional effectiveness or results
User Responsibility: Users are solely responsible for their interactions and transactions
Third-Party Services: Not responsible for Twitter/X, Stripe, or other third-party service issues
Content Accuracy: No verification of user-provided information beyond basic checks

Liability Limitations

Liability limited to the amount of fees paid to XPromo in the 12 months preceding the claim
No liability for indirect, consequential, or punitive damages
No liability for loss of profits, data, or business opportunities
Users agree to indemnify XPromo against claims arising from their platform use

12. Dispute Resolution and Legal Terms

Dispute Resolution Process

Direct Communication: Users encouraged to resolve disputes directly first
Platform Mediation: XPromo support team available for mediation assistance
Binding Arbitration: Unresolved disputes subject to binding arbitration
Class Action Waiver: Users waive right to participate in class action lawsuits

Governing Law

These Terms governed by laws of Delaware, United States
Disputes subject to jurisdiction of Delaware state and federal courts
If any provision is invalid, remaining provisions remain in effect
